By using the BrightStar Reviews platform ("Service"), you (“Client”, “User”, or “You”) agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree to these terms, you may not use our services.

These terms apply to all services provided through our website, platform, and any related communications or integrations.


2. Eligibility

To use the Service, you must be:

At least 18 years of age

Legally able to enter into a binding agreement

Operating in compliance with applicable laws

Accounts may not be created or used on behalf of minors without verified parental consent.


3. Services Provided

BrightStar Reviews offers a subscription-based service that provides clients with access to a secure platform where they can view reports, monitor review activity, and track performance metrics. However, our core value lies in the done-for-you service we deliver on your behalf.

Our team manages and executes the key components of your review strategy, including:

Sending review requests via email and SMS

Creating AI-assisted replies and custom-branded content

Routing and flagging reviews

Posting approved content to social platforms

Managing integrations and response analytics

Clients benefit from login access and full visibility, while we handle the setup, execution, and day-to-day operations for maximum results with minimal effort on your part.


4. User Responsibilities

You agree to:

Provide accurate and current information

Obtain proper consent from your customers before sending messages through the platform

Use the Service only for lawful business purposes

Maintain the confidentiality of your account credentials

You are fully responsible for any activity under your account.


5. Subscriptions & Billing

a. Plans

We offer multiple subscription tiers (e.g., Starter, Growth, Pro), each with defined limits and features.

b. Billing

Subscriptions are billed monthly or annually, depending on your selection.

Fees are charged via Stripe and are non-refundable once billed unless required by law.

You are responsible for any SMS/email delivery fees incurred (typically < $5/month), which are transparently itemized.

c. Cancellations

You may cancel your subscription at any time through your dashboard. Access continues until the end of the billing period.

d. Price Changes

We may change pricing or features with 30 days’ written notice. Continued use of the Service after such notice constitutes agreement to the new terms.


6. Acceptable Use

You agree not to:

Send unsolicited messages or spam (in compliance with CASL)

Collect or upload data unlawfully

Attempt to hack, reverse-engineer, or tamper with the platform

Use the service for deceptive or fraudulent review generation

We reserve the right to suspend or terminate your account for violations.


7. Data & Privacy

Your data is handled in accordance with our Privacy Policy, which complies with:

PIPEDA (Canada)

CASL

Ontario’s Consumer Protection Act

You retain full ownership of your customer data. BrightStar Reviews acts as a data processor on your behalf. We will not sell, share, or use your data outside the scope of your account services.


8. Third-Party Services

We may integrate with or use third-party platforms (e.g., Stripe, Twilio, Google Analytics). Use of these services is subject to their own terms. We are not liable for disruptions or failures of third-party systems.


9. Intellectual Property

All content, software, and designs within BrightStar Reviews are the property of BrightStar Reviews or its licensors. You may not reuse, copy, or distribute platform content without written permission.

You retain all rights to the customer content and data you upload to the platform.


10. Limitation of Liability

To the maximum extent permitted by law:

BrightStar Reviews is not liable for any indirect, incidental, or consequential damages.

Our total liability shall not exceed the fees paid by you in the 3 months prior to the claim.

We do not guarantee specific business outcomes or review performance.


11. Termination

We may suspend or terminate your account at any time for:

Violation of these terms

Non-payment

Unlawful activity

Upon termination, access to your account and data may be revoked.


12. Governing Law

These Terms are governed by the laws of Ontario, Canada, and any disputes shall be resolved in the courts of Ontario.


13. Modifications to Terms

We may update these Terms at any time. Updates will be posted with a new effective date. Continued use of the Service implies acceptance of the revised terms.

15. SMS Messaging Disclosure

BrightStar Reviews may send SMS text messages to your customers on your behalf, solely for the purpose of soliciting feedback or online reviews. These messages are automated and will look like:

"Hi John! Could you take a second to leave a review for BrightStar Reviews? It only takes a few clicks, and it helps us out tremendously! Here's the link: {review-link} Reply STOP to opt out. Powered by BrightStar Reviews."

Message frequency may vary based on customer engagement or service delivery timing. Customers can reply STOP to opt out at any time or HELP for assistance.

Message and data rates may apply depending on usage. Clients are responsible for obtaining appropriate consent from their customers prior to enabling SMS functionality within the platform.
